The other is buying a tokenized common equity interest: projected 12% annual distributions, participation in a refinancing upside and sale proceeds, no guaranteed return. Both instruments are digital securities. Both live on the same blockchain. Both are administered through the same platform.

They are not the same investment. Not remotely.

The first investor is a creditor. The second is an owner. If the property underperforms, the first investor has a lien, a maturity date, and legal remedies on default. The second investor has whatever is left after all the debt is paid — which, in a stress scenario, can be nothing. The blockchain does not change this. The capital stack does.

Tokenized mortgage notes, tokenized mezzanine loans, tokenized preferred equity interests, and tokenized LLC membership interests all satisfy this definition. They are digital securities. Full stop.

The Release’s confirmation carries a specific practical implication for debt versus equity tokenization: the legal character of the underlying instrument determines the investor’s rights, and that character does not change because the instrument is tokenized. A tokenized mortgage note is still a debt obligation. The note terms, the lien priority, the covenant package, the default remedies, and the intercreditor arrangements govern the investor’s position — not the smart contract, not the wallet architecture, and not the platform’s liquidity claims. A tokenized LLC membership interest is still an equity ownership stake. The operating agreement, the waterfall, the governance rights, and the capital stack position govern the investor’s position, not the token mechanics.

The investor’s position is that of a creditor: they have lent money to the borrower, they expect scheduled interest payments, and they expect their principal returned at maturity or on repayment. The property serves as collateral for the loan, not as an asset the investor owns.

Here is a concrete example of how this works in practice. A sponsor acquires a stabilized office building in a secondary market for $20 million. The acquisition is financed with a $13 million senior mortgage from a traditional lender, a $3 million tokenized mezzanine note issued to accredited investors, and $4 million of sponsor equity. The tokenized mezzanine note pays investors a 10% fixed coupon, matures in three years, and is secured by a pledge of the ownership interests in the property-owning LLC. Investors receive quarterly interest payments in cash or, in a more sophisticated structure, stablecoins distributed through an automated distribution engine. At maturity, the sponsor refinances or sells the property, repays the mezzanine note, and investors receive their principal back.

From the investors’ perspective, this is a loan. They are not equity partners. They do not participate in appreciation above their principal and coupon. If the property value doubles, they still get 10% interest and their principal back. If the instrument is secured, there is a pledge agreement or mortgage document creating the lien and defining the collateral. If there is senior debt above the mezzanine, there is an intercreditor agreement defining the relationship between the two creditor positions — what the mezzanine lender can and cannot do without senior lender consent, and what happens in a default scenario.

The token represents the investor’s interest in that debt instrument. It does not replace the underlying legal documents. If the note terms and the token architecture conflict — because the smart contract was coded before the note agreement was finalized, or because an amendment to the note terms was not reflected in the token mechanics — the note terms control. The token is the record. The note is the contract.

A tokenized equity interest represents an ownership stake in the property-owning vehicle rather than a creditor claim against it. The investor is not a lender. They are a co-owner, with whatever governance rights, economic participation, and distribution entitlements the governing documents and capital stack position provide.

Same building, different structure. The same $20 million office building acquisition described above also has $4 million of equity, all of it held by the sponsor in this example. Now suppose instead that the sponsor raises $3 million of that equity from outside investors through a tokenized LLC offering. Those investors receive membership interests in the property-owning LLC, represented by tokens. They participate in operating distributions, refinancing proceeds, and sale upside according to the waterfall defined in the operating agreement. They also absorb the first losses if the deal underperforms, because equity sits below all the debt in the capital stack.

If the property stabilizes and the sponsor refinances at a $22 million valuation, the equity investors participate in the refinancing proceeds above the debt payoff. If the property is sold at $25 million after three years, the equity investors participate in the sale gain after debt repayment, transaction costs, and waterfall tiers. If the property declines to $15 million and the senior lender forecloses, the equity investors lose their entire investment because the $13 million senior loan plus costs likely consumes all the available value before equity receives anything.

Revenue-sharing tokens are not a third category between debt and equity. They are securities. The Howey test reaches economic substance, not marketing labels, and the 2026 Release closes whatever room sponsors thought remained for label-based structuring.

Choosing the Structure: What Sponsors Should Be Asking

The choice between tokenized debt and tokenized equity is not primarily a technology decision. It is a capital structure decision that happens to be implemented through tokenized infrastructure. The following questions should drive the analysis before any offering is designed:

Does the project produce reliable cash flow sufficient to service debt? A stabilized multifamily asset with 95% occupancy and a strong rental market can support predictable debt service. A ground-up development project in lease-up cannot. Debt tokenization works best when the underlying cash flow is stable and the repayment path is credible. Equity tokenization is more appropriate when cash flow is uncertain or deferred, because equity investors understand they are sharing in the outcome rather than receiving a guaranteed return.

Does the sponsor want equity partners or creditors? This sounds like a philosophical question, but it has concrete legal and operational consequences. Equity partners have governance rights, economic claims on appreciation, and ongoing relationships with the sponsor over the life of the investment. Creditors have payment rights, covenant protections, and remedies on default, but they do not participate in value creation above their return. Sponsors who want to preserve control and avoid long-term equity relationships often prefer debt. Sponsors building a long-term relationship with investors around property performance prefer equity.

Where is the funding gap in the capital stack? The answer often determines the instrument almost by process of elimination. If senior debt covers 65% of value and the sponsor has 15% of equity, the 20% gap might be filled by mezzanine debt, preferred equity, or common equity — depending on the deal’s cash flow, the sponsor’s cost of capital objectives, and what investors in the target market are willing to accept.

What does the investor base expect? Retail-oriented tokenized offerings and institutional investors have different expectations about return structure, risk disclosure, documentation, and secondary liquidity. An offering designed to attract smaller individual investors through a broad digital platform may benefit from a simpler fixed-income structure with defined terms. The token architecture is the same in both cases. The underlying instrument and documentation standards are not.

These are legal and structural questions. They should be answered by counsel before the token architecture is specified.
