The primary governing document for a fund structured as a limited partnership. In a tokenized fund, the LPA governs the legal rights and obligations of all parties. Smart contracts implement certain mechanics of the LPA on-chain, but the LPA itself — not the smart contract — is the controlling legal document. In the event of any conflict between the smart contract code and the LPA, the LPA prevails.
