Step-by-Step: How to Tokenize a U.S. Real Estate Asset

Tokenizing a U.S. real estate asset is not just a matter of putting a building on a blockchain. The hard work is making sure the property, the issuer entity, the investor rights, the securities exemption, the token mechanics, and the recordkeeping all fit together before the first token is minted.

A sponsor who has never done a tokenized offering and one who has closed a dozen of them will tell you the same thing if you ask what the hardest part is: the hard part is not the blockchain. Smart contracts are implementable. Token standards are documented. Wallet infrastructure is available from dozens of providers. The hard part is making sure the legal structure underneath the token is sound — that the property is properly in an entity that can issue the securities, that the securities offering complies with the applicable federal exemption, that the investor rights are defined precisely in the governing documents and accurately implemented in the smart contract, and that the recordkeeping architecture satisfies the regulatory requirements that govern how the token and the legal ownership record interact.

The SEC’s January 28, 2026 Staff Statement on Tokenized Securities made this relationship between legal structure and token architecture explicit. The Statement defined a tokenized security as a financial instrument that meets the definition of a security under the federal securities laws and that is formatted as or represented by a crypto asset, with ownership records maintained in whole or in part on or through one or more crypto networks. The format change — from a traditional book-entry record to a blockchain-based record — does not change what the investor owns, what rights they hold, or what securities laws apply. Substance prevails over form. What the token represents legally, and how that legal interest is documented and protected, is the analysis that determines whether the tokenization project is built on a solid foundation or an expensive illusion.

The 2026 Project Crypto Release — Release Nos. 33-11412 and 34-105020, issued jointly by the SEC and CFTC on March 17, 2026 — further confirmed this framework and established the five-category taxonomy that places tokenized real estate interests in the digital securities category subject to the full federal securities law framework. This post works through the tokenization process as a sequence of legal decisions that happen to be implemented through blockchain technology, not the other way around.

Step One: Evaluate the Asset and Define the Token Model

Choose the Asset and Build the Diligence File

Tokenization begins with the asset, not the technology. Before any legal structure is designed or any smart contract is specified, the sponsor needs a clear-eyed picture of what the asset actually is, what its economics look like, and whether it can support the capital raise and investor proposition the tokenized offering will describe.

The due diligence file that will underpin the offering documents needs to cover title and ownership history, the current entity structure and any existing liens or debt, the rent roll and lease economics, operating expenses and reserves, capital expenditure history and projections, environmental and zoning status, insurance, and any material contracts that affect the property’s value or operations. The SEC’s real estate disclosure guidance has consistently identified property information, total costs, occupancy, sponsor track record, distributions, and leverage as material items for real estate securities offerings. If the diligence file cannot support clear and accurate disclosure of all of these items, the offering is not ready to launch. Tokenization does not substitute for diligence. It gives investors a more efficient interface for an investment that still lives or dies on the quality of the underlying facts.

Define the Token Model Before the Technology Stack

The choice of token model — equity, debt, revenue-share, or fund unit — is a legal and economic decision that shapes every downstream decision about the offering structure, the governing documents, the securities exemption, the tax treatment, and the investor communications. It is not a technology decision, and it should not be treated as one. The token standard can be selected after the model is defined. The model cannot be selected by the developer.

The table below maps the four primary token models against what the investor actually holds, the economic rights the model creates, the securities law and 2026 Release classification, and the structural fit assessment for different asset types and investor bases:

Two points from the table deserve particular emphasis. First, revenue-sharing tokens are not a clever middle path between debt and equity that avoids securities law. The 2026 Release’s Howey analysis reaches economic substance, not marketing labels. A token that gives holders a share of property cash flow in exchange for a capital investment, where investors rely on the sponsor’s management for the return, is an investment contract and therefore a security, regardless of what it is called. Sponsors who use revenue-sharing token structures to avoid securities documentation are not avoiding securities law. They are violating it.

Second, the fund unit model deserves serious consideration for sponsors who have a track record and anticipate multiple deals. The original source document for this post, and the companion handbook material, both identify the natural constraints of the deal-by-deal SPV model: each new offering restarts the capital raise, resets the legal and compliance costs, and requires a new investor qualification process. A fund structure amortizes those fixed costs across the capital base and opens access to institutional investors who do not participate in single-deal SPVs. If the sponsor’s long-term plan involves building a repeating capital-formation program, the fund model should be analyzed at the outset.

Step Two: Build the Legal Structure

Establish the SPV and Transfer the Asset

For a single-property offering, the starting point is a dedicated special purpose vehicle that holds the property or the equity interests in the property-owning entity. The SPV isolates the asset, its liabilities, and its cash flows from the sponsor’s other operations. It gives the offering a defined issuer. It simplifies the cap table. And it makes it possible to ring-fence the investor rights created by the offering from other claims against the sponsor.

The asset transfer into the SPV is a real estate transaction, not a blockchain transaction. It requires deeds or contribution agreements, title work, lender consent or refinancing if existing debt is affected, and organizational approvals consistent with the SPV’s governing documents. Delaware LLCs are the most common vehicle for tokenized real estate SPVs because Delaware’s LLC Act expressly permits the use of distributed ledger technology in a company’s books and records, including its stock or membership records. That statutory authorization provides a state-law foundation for using blockchain-based records in an LLC’s ownership system that is valuable but not available in every state. The property transfer must be completed, documented, and title-insured before any tokens are issued. The sequence matters: asset first, then token.

Define the Legal Link Between the Token and the Investor’s Rights

This is the step that most tokenization projects execute poorly. The January 28, 2026 SEC Staff Statement on Tokenized Securities identified three distinct models for how a token relates to the underlying security: issuer-sponsored tokenization (where the on-chain record is integrated into the master securityholder file, so a token transfer directly updates the official ownership record); notification-based tokenization (where the on-chain transfer notifies the issuer or its agent to update a separate off-chain master securityholder file); and third-party tokenization (where a party unaffiliated with the issuer creates a token that provides custodial access to, or synthetic exposure to, a referenced security, with different rights and risks in each case).

For a U.S. real estate tokenization project, the issuer-sponsored model is the most legally transparent and operationally defensible. Under this model, the token transfer either directly updates the master securityholder file or, in the notification-based variant, triggers an update to the off-chain records maintained by a registered transfer agent. The 2026 Release’s hybrid recordkeeping framework endorses this architecture: on-chain records can serve as the cap table ledger or a component of the master securityholder file, coordinated with the transfer agent’s off-chain records. The transfer agent’s records are the legally authoritative ownership record.

The offering documents must state this relationship explicitly. What does the token represent? Is the on-chain record the master securityholder file, or does the on-chain transfer merely notify the transfer agent to update an off-chain record? Which record controls in a conflict? Where is the definitive ownership record maintained? Who can update it, and under what conditions? These are not questions for the token whitepaper. They belong in the operating agreement and the offering circular, because they define the legal reality of what the investor owns.

The token is the record. The governing documents create the rights. When the two conflict, the governing documents win. Build the documents before the smart contract, every time, without exception.

Engage the Registered Transfer Agent

Under the 2026 Release’s hybrid recordkeeping framework, a registered transfer agent is required to maintain the authoritative ownership record. This engagement cannot be deferred to after the launch. The transfer agent must be identified in the offering documents, must be in place before the first tokens are issued, and must have a coordination protocol established with the on-chain recordkeeping system before any investor subscriptions are accepted.

The transfer agent’s role in a tokenized offering includes: maintaining the master securityholder file (or coordinating with the on-chain record as the master file, depending on the model selected); processing approved transfers and updating ownership records; maintaining the legend and stop-transfer system that enforces applicable transfer restrictions; and providing the legally authoritative record that can be produced for SEC examination, investor disputes, or any other proceeding in which the official ownership record is relevant. Platforms that treat the blockchain as a self-sufficient ownership record without a registered transfer agent are not compliant with the 2026 Release’s requirements, and investors in those offerings face the platform shutdown risks described in the prior post in this series.

Step Three: Navigate the Securities Compliance Framework

Confirm the Token Is a Security — and Treat It Accordingly

For the vast majority of tokenized real estate offerings, the securities analysis is not a close call. A tokenized equity interest in an SPV that owns an apartment building, sold to investors who are expecting returns from the sponsor’s management of that building, satisfies the Howey test’s four elements: investment of money, in a common enterprise, with an expectation of profits, derived primarily from the efforts of others. The 2026 Release’s five-category taxonomy confirms that these instruments are digital securities subject to the full federal securities law framework.

The practical consequence is that the offering must be registered with the SEC or qualify for a valid exemption. The securities must be disclosed accurately and completely. The anti-fraud provisions apply to every communication associated with the offering. Transfer restrictions apply to securities sold in an exempt offering. Secondary trading requires a registered broker-dealer or ATS. None of those requirements is modified by the blockchain format. The technology changes the mechanics of how the investment is administered. It does not change the legal framework within which the administration occurs.

Select the Right Offering Exemption

Exemption selection is the most consequential securities law decision in the tokenization process because it determines who can invest, how the offering can be marketed, what documentation is required, what restrictions apply to secondary trading, and what ongoing compliance obligations the sponsor carries. Choosing the wrong exemption does not produce a technical violation that can be corrected. It can void the exemption entirely and leave the sponsor with an unregistered, non-exempt offering.

  • Rule 506(b): No general solicitation. Unlimited accredited investors plus up to 35 sophisticated non-accredited investors with additional disclosure obligations. Produces restricted securities. Form D required within 15 days of first sale. State notice filings in each investor’s state of residence. Best for relationship-first, private offerings distributed through existing investor networks.
  • Rule 506(c): General solicitation permitted. Every purchaser must be an accredited investor and the issuer must take reasonable steps to verify accredited status — self-certification alone is not sufficient. Produces restricted securities. Form D and state notice filings required. Best for offerings using broad digital marketing and social media distribution.
  • Regulation A+ Tier 2: Up to $75 million in any 12-month period. All investors — accredited and non-accredited — may participate, with non-accredited investors limited to 10% of the greater of annual income or net worth. General solicitation permitted. Federal preemption of state registration requirements. Securities are not restricted. Ongoing SEC reporting required (annual Form 1-K, semi-annual Form 1-SA, current event Form 1-U). The most powerful tool for genuine retail access to tokenized real estate.
  • Regulation Crowdfunding: Up to $5 million in any 12-month period. All investors with applicable investment limits. Must be conducted through a single registered intermediary (broker-dealer or FINRA-registered funding portal). Securities subject to a one-year transfer restriction from issuance. Useful for smaller raises with community investor appeal; limited by the offering cap for larger commercial transactions.
  • Regulation S: Safe harbor for qualifying offshore offers and sales made outside the United States to non-U.S. persons. No directed selling efforts in the U.S. Flowback risk requires careful design; in tokenized structures where cross-border transfers can be instantaneous, the flowback analysis is especially important.

A note on the marketing lane: the exemption selection determines what the sponsor can and cannot say publicly about the offering before and during the raise. A 506(b) offering cannot involve general solicitation. If the sponsor posts an offering on a broadly accessible website, promotes it through social media, or presents it at a public conference before verifying that all attendees have pre-existing substantive relationships with the issuer, the exemption may be forfeited. A 506(c) offering can involve broad digital marketing, but every investor who subscribes must have their accredited status verified through substantive documentation, not a checkbox. Build the marketing lane to match the exemption before the first investor communication is sent.

Prepare the Offering Documents

The offering documents are not a formality to be handled after the token architecture is built. They are the legal foundation on which the token architecture must rest. For a tokenized real estate offering, the core document package includes the private placement memorandum (or offering circular for Regulation A+ offerings), the operating agreement or LP agreement that creates and governs the investor’s rights, the subscription agreement and investor questionnaire, the transfer agent agreement, and the token terms or digital asset supplement that describes the relationship between the token and the underlying security.

The SEC’s guidance on tokenized securities disclosures requires that the offering documents specifically address: what the token represents and what rights it confers; where the definitive ownership record is maintained; how on-chain and off-chain records are coordinated; what technical requirements apply to holding and transferring the token (wallets, private keys, custody options); whether the smart contract code can be modified and by whom; the audit status of the smart contracts; the oracle and data feed dependencies; the transfer restriction mechanics; the secondary trading framework; and the cybersecurity risks specific to the technology stack. Generic disclosure that describes a traditional real estate syndication without addressing these tokenization-specific elements is not adequate for a tokenized offering.

Reconciliation: The Step That Prevents the Most Common Tokenization Failures Before any smart contract is deployed, the sponsor’s counsel and development team should complete a reconciliation matrix that maps each material term in the offering documents against its implementation in the smart contract: •  Transfer restrictions: Does the operating agreement require manager consent for transfers? Does the smart contract enforce this, or does it permit transfers to any whitelisted wallet without approval? •  Distribution waterfall: Does the operating agreement describe a preferred return before return of capital, or the reverse? Does the smart contract execute the correct order? •  Upgrade authority: Does the operating agreement identify who can modify the smart contract and under what conditions? Does the smart contract’s admin key architecture match this? •  Whitelist coordination: Does the smart contract’s whitelist reflect the current transfer agent’s eligibility records, and is there a documented process for keeping the two synchronized? •  Record of ownership: Do the token terms clearly state whether the on-chain record or the transfer agent’s off-chain record is the master securityholder file, and which controls in a conflict? Every discrepancy between the offering documents and the smart contract is a latent dispute. Finding and resolving discrepancies before launch costs legal and developer time. Finding them after launch, during an investor complaint or regulatory examination, costs multiples of that.

Step Four: Build the Blockchain Infrastructure

Select the Blockchain Network and Token Standard

Chain selection is a technical decision with legal consequences. The SEC’s disclosure guidance for crypto-asset securities points issuers toward network-specific disclosures: consensus mechanics, transaction speed and finality, gas or transaction fees, upgrade and governance procedures, security characteristics, and who controls changes to the network or application. These are not cosmetic details. They affect the cost and reliability of token transfers, the investor experience of holding and managing the security, the enforceability of the compliance design, and the platform shutdown risk that the prior post in this series examined in detail.

Most tokenized real estate projects use Ethereum-compatible infrastructure, partly because of its widespread adoption and developer ecosystem, and partly because ERC-20 provides a widely recognized baseline interface for token transfers and wallet compatibility. For regulated-security use cases, compliance-oriented token standards like ERC-3643 add identity registries and automated eligibility checks that can enforce whitelisting and transfer restrictions at the protocol level. The token standard should support the offering’s actual legal restrictions, not just basic token movement.

Public chain vs. permissioned network is another decision with real consequences. A public-chain token exists on a network that is maintained by a decentralized validator set, meaning the on-chain record survives independently of any single company’s operations. A permissioned network token depends on the continued operation of the entities running the network’s infrastructure. As the platform shutdown analysis demonstrates, permissioned networks create higher operational risk for investors because the token layer can cease to function if the platform shuts down, even when the off-chain legal records are properly maintained.

Design the Smart Contract Architecture

Smart contracts in a tokenized real estate offering must implement the legal structure, not invent an alternative to it. The contract logic must reflect the distribution waterfall defined in the operating agreement, the transfer restrictions applicable to the securities under the chosen exemption, the investor eligibility requirements enforced by the whitelist, and the governance provisions that determine who can modify the contract.

At a minimum, a real estate security token smart contract system needs functionality for: minting tokens at issuance to approved custody arrangements or investor wallets; pausing or freezing token transfers during emergencies, compliance reviews, or remediation events; enforcing investor eligibility through a whitelist coordinated with the transfer agent’s records; limiting transfers by holding period, investor category, jurisdiction, and approved venue; managing administrative roles and upgrade authority with appropriate governance controls; and producing audit-ready transaction logs for SEC examination.

Before deployment, the smart contracts must be audited by an independent security firm with documented scope, findings, and remediation. The audit scope should cover the full contract system including third-party library dependencies, not just the primary contract. A post-audit fix review should confirm that critical findings have been addressed before deployment. This is a disclosure obligation — the offering documents must describe the audit status, identify the auditor, and disclose any material findings — as well as an operational necessity.

Step Five: Launch the Offering and Onboard Investors

A compliant launch happens only after the legal documents, the smart contracts, the transfer agent engagement, and the investor onboarding workflow have been built and tested together. By the time the first investor subscribes, the sponsor should already know: which exemption governs the offering; what documentation is required from each investor category; where the official ownership record lives; how the whitelist is coordinated with the transfer agent’s records; what transfer restrictions apply and how they are enforced both technically and legally; and who is responsible for post-issuance administration.

Investor Onboarding: KYC, AML, Accreditation, and Wallet Mapping

Investor onboarding in a tokenized offering requires completing the same eligibility and compliance work as a traditional private placement, plus the additional step of mapping each approved investor to the wallet or custody arrangement that will hold the token. Under Rule 506(c), accredited investor verification requires substantive documentation — tax records, financial statements, or a third-party verification letter — not a self-certification checkbox. OFAC sanctions screening and AML review apply to all investors, including those investing through stablecoin or cryptocurrency payment rails. Entity investors require beneficial ownership verification to identify the natural persons who ultimately own and control the investing entity.

The wallet mapping step is uniquely important in tokenized offerings and uniquely prone to error. The investor’s approved wallet address must be added to the smart contract’s whitelist before any tokens can be delivered. That wallet address must be linked to the investor’s identity in the transfer agent’s off-chain records, maintaining the connection between the on-chain token holder and the legal ownership record. If an investor changes their wallet address after onboarding, both the whitelist and the transfer agent’s records must be updated through a documented process that requires investor authentication and issuer approval. An undocumented wallet change is an ownership record discrepancy waiting to produce a dispute.

Token Issuance: Sequence and Documentation

Token issuance should follow a defined sequence that confirms every compliance condition has been satisfied before tokens are delivered. Investors subscribe and submit verification documentation. The issuer reviews eligibility and confirms the exemption’s specific requirements are satisfied. Subscription funds are accepted. The issuance is recorded in the official ownership records maintained by the transfer agent. Tokens are minted and delivered to the investor’s approved wallet or custody arrangement. Form D is filed with the SEC within 15 days of the first sale. State notice filings are submitted to each state where investors reside, on the applicable state-specific timelines.

Under both Rule 506(b) and Rule 506(c), purchasers receive restricted securities. The token mechanics must enforce the applicable holding period and resale restrictions. Under the 2026 Release’s confirmed framework, secondary trading must occur through a registered broker-dealer or ATS — not through direct peer-to-peer wallet transfers that bypass the compliance infrastructure. Investors should receive a clear post-issuance notice explaining the applicable transfer restrictions, the required holding period, the process for requesting a compliant transfer, and the investor’s distribution, reporting, and governance rights going forward.

Step Six: Post-Issuance Administration

The token offering is the beginning of the administrative burden, not the end of it. Post-issuance operations include maintaining the securityholder records in coordination between the on-chain ledger and the transfer agent’s off-chain files; processing distributions according to the waterfall encoded in the smart contract and verified against the operating agreement; handling transfer requests through the compliant approval process; administering votes and major governance actions; delivering investor reporting on the cadence required by the governing documents and the applicable exemption; coordinating tax documentation including Schedule K-1s or Form 1099s as applicable; monitoring the smart contract code for security issues and managing any upgrade process through the governance framework disclosed to investors; and maintaining the records required by the BSA and applicable securities regulations in a format that can be produced for regulatory examination.

Secondary trading should be treated as a separately regulated workstream, not an automatic feature of the token’s technical transferability. If the offering intends to support secondary trading, a compliant venue — a registered ATS or broker-dealer — must be identified and operational before secondary trading commences. The transfer restriction framework must be coordinated with the trading venue’s compliance infrastructure. The transfer agent must process every secondary trade that results in an ownership change. And the liquidity representations made to investors must accurately describe the actual secondary market infrastructure that exists, not the one that is hoped for.

Post-Issuance Compliance Calendar: What Happens After the Tokens Are Issued The following obligations begin at or immediately after first sale and continue for the life of the offering: •  Form D: File with the SEC within 15 days of the first sale. Amend if material information changes. •  State notice filings: Submit to each state where investors reside, on state-specific timelines (commonly 15-30 days from first in-state sale), with applicable fees. •  Bad actor monitoring: Recheck covered persons before each new closing or significant change in the offering’s personnel. •  Transfer agent record reconciliation: Confirm on-chain and off-chain records are synchronized on an ongoing basis; resolve discrepancies promptly. •  Investor reporting: Deliver quarterly or annual updates per the governing documents’ information rights provisions. •  Tax documentation: Issue Schedule K-1s (partnership structures) or Form 1099s (corporate structures) on schedule. •  Distributions: Process through the smart contract distribution logic and verify against the fund administrator’s waterfall calculations. •  Smart contract monitoring: Maintain awareness of post-deployment vulnerabilities and process any upgrade through the disclosed governance framework. •  Regulation A+ ongoing reporting (if applicable): Annual Form 1-K, semi-annual Form 1-SA, and current event Form 1-U filings with the SEC.

The Bottom Line

The SEC’s January 28, 2026 Staff Statement on Tokenized Securities made explicit what practitioners have understood for years: changing how ownership is recorded does not change what is being sold. A tokenized security is still a security. The legal and regulatory framework that applies to the underlying security applies equally to its tokenized representation. Substance prevails over form.

For a U.S. real estate tokenization project, that means the six-step process described in this post is not optional or sequential by preference. It is sequential by legal necessity. The asset must be properly in an entity before investor rights can be created. The investor rights must be defined in governing documents before they can be encoded in smart contracts. The securities exemption must be selected before the marketing begins. The transfer agent must be engaged before the tokens are issued. The smart contracts must be audited before they are deployed. The post-issuance compliance calendar must be running before the offering goes quiet.

Sponsors who execute these steps correctly build tokenized real estate offerings that function as described, hold up under investor scrutiny, and survive regulatory examination. Sponsors who treat tokenization as a blockchain project with some legal paperwork attached discover, usually at an inconvenient moment, that the legal framework is not the wrapper for the technology. The technology is the implementation of the legal framework.
